Terms of Use & Conditions

Effective Date: October 6, 2026

These Terms of Use and Conditions ("Terms") govern access to and use of the websites, mobile applications, and related services operated by Womb WatchAI Corp. ("Womb WatchAI," "we," "our," or "us"), including Rhythm by Womb WatchAI® (together, the "Platform").

The mobile apps are distributed on the Apple App Store and Google Play. Until the store records are updated, the developer name shown on those stores may be AI Word Wiz Corp. Purchases made through Apple or Google are contracts with that store for billing only. Entity, gift, university, provider, and employer purchases made on this website are contracts with Womb WatchAI Corp. The Platform is operated by Womb WatchAI Corp., 17 State Street, Suite 4000, New York, NY 10004.

By creating an account, downloading Rhythm, buying a seat, or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old and able to form a binding contract. The Platform is not directed to children under 13, and we do not knowingly collect their information. You may not buy seats for an organization except as its authorized buyer.

2. What the Platform is

Rhythm is a personal health-information app. It lets a user record cycle, symptom, nutrition, and laboratory information, connect optional device data, and receive informational summaries generated by our software, including Liv and the Bio-Intent Orchestration System™ (BIOS™).

The Platform does not provide medical care. It is not a physician, laboratory, diagnostic device, or emergency service. It does not diagnose, treat, cure, or prevent any disease or condition, including endometriosis, PCOS, fibroids, adenomyosis, pregnancy complications, or cancer. Outputs such as cycle estimates, lab flags, grocery lists, and clinician-discussion prompts are informational. A value described as consistent with a condition is not a diagnosis. Always consult a qualified clinician before acting on anything the Platform shows.

If you think you have a medical emergency, call 911 or local emergency services. Do not use Liv for emergencies.

3. Accounts

Users must provide accurate registration information and keep credentials confidential. A user is responsible for activity under that account. Compromised accounts should be reported to customersupport@wombwatchai.com.

A user may delete an account in the app. Deletion removes the account from active use. Copies required for security, fraud prevention, tax, or a legal hold may be retained for that purpose and then deleted. A conversation deleted on one device is deleted on our servers so it does not return on the next sign-in, except where a legal hold applies.

4. Website purchases, subscriptions, and entity codes

Seat purchases for employers, providers, universities, and gifts are made on this website and billed by Stripe. The seat count, price, and buyer email shown at checkout are the contract. Payment creates an entity code emailed to the buyer. The code is for that buyer. Seats are assigned inside the product. A code is not a medical benefit, has no cash value, and is not transferable except as we permit in writing.

App subscriptions are billed by Apple or Google, not by us. Price, period, and renewal terms are shown in the store before confirmation. A subscription renews until canceled at least 24 hours before the end of the current period in the Apple or Google account settings. Deleting the app does not cancel a subscription. Store refund requests go to Apple or Google. Website refund requests go to customersupport@wombwatchai.com.

5. Your content and health data

The user keeps ownership of information submitted, including photos, lab reports, symptoms, and messages. The user grants us a limited license to host, process, and display that information solely to operate the Platform for that user, to secure it, and to meet legal duties.

Optional connections to Apple Health and Health Connect are controlled by the permissions granted on the device. We do not sell health information. Collection and sharing are described in the Privacy Policy and the Data Policy, which are incorporated into these Terms. Do not submit another person's information unless you have the right to do so.

6. Acceptable use

You will not probe, scrape, reverse engineer, or overload the Platform; attempt to access another user's data; upload malware; use the Platform to provide clinical services to third parties; or misrepresent an output as our diagnosis. We may suspend access for a breach of these Terms.

7. Intellectual property

The Platform, including software, models, text, graphics, and compilation of data, is owned by Womb WatchAI Corp. All rights reserved. No license is granted except the limited, non-exclusive, non-transferable, revocable right to use the Platform for personal or, for a seat purchase, internal organizational use while these Terms are in effect.

Womb WatchAI®, Rhythm by Womb WatchAI®, and Bio-Intent Orchestration System™ (BIOS™) are trademarks of Womb WatchAI Corp. Patent applications are pending. You may not use the marks or claim any right in the software.

8. Store terms

If you downloaded the app from Apple, these Terms are between you and Womb WatchAI Corp., not Apple. Apple is not responsible for the app or its content, has no maintenance or support obligation, and is not responsible for product claims. Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it. You must comply with the App Store terms. If you downloaded from Google, the same division of responsibility applies to Google, and you must comply with Google Play's terms.

9. Disclaimers and limitation of liability

The Platform is provided "as is" and "as available." We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that outputs are complete, current, or error-free.

To the fullest extent permitted by law, Womb WatchAI Corp. is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for a claim arising out of the Platform is limited to the amount you paid us in the three months before the claim, or fifty dollars, whichever is greater. Some states do not allow these limits. In those states, the limits apply only as far as the law allows. Nothing in these Terms limits liability for death or personal injury caused by negligence where the law forbids that limit.

10. Indemnity

You will defend and indemnify Womb WatchAI Corp. and its officers, directors, employees, and agents against claims arising out of your use of the Platform, your content, or your breach of these Terms, except to the extent caused by our willful misconduct.

11. Termination

You may stop using the Platform and delete the account at any time. We may suspend or end access if you breach these Terms or if we discontinue the product. Sections that by their nature should survive, including intellectual property, disclaimers, liability limits, and governing law, survive.

12. Governing law

These Terms are governed by the laws of the State of New York, excluding conflict-of-law rules. Courts located in the State of New York have exclusive jurisdiction, except that either party may seek injunctive relief for misuse of intellectual property in any court of competent jurisdiction. Legal notices go to legal@wombwatchai.com.

13. Changes

We may update these Terms by posting a new effective date on this page. If a change is material, we will also give notice in the app or by email. Continued use after the effective date is acceptance. If you do not agree, stop using the Platform and delete the account.
